1. Eligibility
You must be at least 13 years old to use ScoutLocal. If you are under the age of majority in your province, you may only use the Service with the involvement of a parent or guardian.
2. The Service
ScoutLocal helps users discover local businesses, offers, and events based on location, time, and stated preferences, using a combination of real-time data and an AI assistant (“Scout”). Business owners may claim, manage, and promote listings through a separate Business Portal.
3. Accounts
- You must provide accurate information when creating an account and keep your login credentials secure.
- You are responsible for all activity under your account.
- We may suspend or terminate accounts that violate these Terms, provide false information, or are used for fraudulent or abusive purposes.
- You may delete your account at any time from within the app (Settings > Delete Account) or by contacting scout@scoutlocal.ca. Deleting your account will remove your saved places, preferences, and chat history with Scout, subject to the retention periods described in our Privacy Policy.
4. Scout AI Assistant
Scout is an AI-powered feature that generates recommendations, summaries, and answers based on available data, including your location, saved places, and query history.
Scout’s responses may be inaccurate, incomplete, or out of date. We do not guarantee the accuracy of business hours, availability, offers, or other details surfaced by Scout. Always confirm details (hours, pricing, availability) directly with the business before visiting.
We do not warrant that any recommendation constitutes advice, and reliance on Scout’s output is at your own risk.
5. Location Data
ScoutLocal’s core functionality depends on access to your device’s real-time location. You may disable location access at any time through your device settings, but doing so will limit or disable core features. See our Privacy Policy for details on how location data is collected, used, and retained.
6. Saved Places and User Content
- You may save places, preferences, and notes within the app. This data is used to personalize recommendations.
- If you submit reviews, comments, or other content (“User Content”), you grant ScoutLocal a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating the Service.
- You are solely responsible for your User Content and represent that it does not violate any law or third-party right.
- We may remove User Content that violates these Terms or applicable law at our discretion.
Content standards. User Content must not be false, defamatory, harassing, hateful, sexually explicit, or otherwise objectionable, and must not misrepresent your affiliation with a business or attempt to manipulate ratings or reviews.
Reporting and removal. You can report or flag User Content, and block other users, directly within the app. We review reports and will remove content that violates these Terms or applicable law, generally within 24 hours of a valid report. You can reach us directly at scout@scoutlocal.ca for any content or user safety concern.
7. SMS and Communications
By providing your phone number to receive a download link or notifications, you consent to receive transactional and, where separately opted in, promotional SMS messages from ScoutLocal. Message and data rates may apply. You may opt out at any time by replying STOP or through your account settings. See our Privacy Policy for how we handle phone number data.
8. Business Listings and Offers (For Business Users)
If you register a business listing through the Business Portal:
- You represent that you are authorized to act on behalf of the business and that the information you submit (hours, offers, pricing, contact details) is accurate and kept current.
Offers and promotions: Any offer, discount, or promotion you post is a representation to consumers that ScoutLocal displays but does not itself provide or guarantee. You are solely responsible for honoring offers you post and for compliance with applicable consumer protection law (including the BC Business Practices and Consumer Protection Act) regarding accuracy, expiry, and redemption terms.
Analytics: Dashboard analytics (views, redemptions, ratings) are provided for informational purposes; we do not guarantee their precision.
We reserve the right to verify, edit for formatting, suspend, or remove any listing that we determine, in our discretion, to be inaccurate, misleading, or in violation of these Terms.
Fees and Billing
- Business listings on ScoutLocal are offered through paid monthly subscription plans, as described at /pricing at the time of purchase.
- By subscribing, you authorize ScoutLocal to charge your designated payment method on a recurring monthly basis until you cancel.
Auto-renewal: Subscriptions renew automatically each month unless cancelled at least 3 days before the renewal date. You will not receive a separate reminder before each renewal unless required by law.
Price changes: We may change subscription pricing with at least 30 days’ notice. Continued use of the subscription after a price change takes effect constitutes acceptance of the new price; you may cancel before the change takes effect to avoid it.
Cancellation: You may cancel your subscription at any time through the Business Portal. Cancellation takes effect at the end of the current billing cycle; you will retain access to paid features until then. Cancelling does not entitle you to a prorated refund for the remainder of the cycle unless required by law.
Refunds: Except as required by applicable law, fees already paid are non-refundable, including in cases of underperformance, dissatisfaction, or early cancellation.
Failed payment: If a payment fails, we may suspend your listing’s paid features (e.g., revert to a free-tier listing, hide promoted placement) until payment is resolved. We may retry failed charges and notify you at the email on file.
Taxes: Subscription fees are exclusive of applicable taxes (e.g., GST/PST), which will be added at checkout where required.
Payment processing: Subscription payments are processed through the web-based Business Portal at http://localhost:4002, via Stripe. Subscriptions are not purchased or managed through ScoutLocal’s iOS or Android consumer applications.
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or to misrepresent a business’s identity, hours, or offers;
- Scrape, reverse-engineer, or use automated means to access the Service beyond normal use (including through the public MCP/AI-agent endpoints, which are subject to their own usage terms);
- Interfere with the Service’s operation or attempt to gain unauthorized access to other users’ accounts or data;
- Post false reviews or manipulate ratings.
10. Third-Party Services and AI Providers
The Service may route certain requests (including Scout queries) to third-party AI model providers to generate responses. We select and configure these providers; we do not control their independent handling of data beyond our contractual instructions, which are described further in our Privacy Policy.
11. Disclaimers
THE SERVICE, INCLUDING SCOUT AND ALL BUSINESS/LOCATION INFORMATION, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT BUSINESS HOURS, OFFERS, OR AVAILABILITY DISPLAYED WILL BE ACCURATE OR UNINTERRUPTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, [Company Legal Name] AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE, INCLUDING RELIANCE ON SCOUT’S OUTPUT OR ANY BUSINESS LISTING. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR CAD $100 IF YOU HAVE NOT PAID US ANYTHING.
Note: some provinces limit how far liability can be excluded for consumer contracts — have a lawyer confirm this section is enforceable in BC.
13. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms. You may stop using the Service and delete your account at any time.
14. Governing Law
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of British Columbia.
15. Changes to These Terms
We may update these Terms from time to time. We will provide notice of material changes (e.g., via the app or email). Continued use of the Service after changes take effect constitutes acceptance.
